Terms of Service

1. About these terms

These Terms of Service ("Terms") govern your use of the Auditably.co software service (the "Service") provided by Md R Rafi, an individual operating the business under the trading name "Auditably.co", with business contact address at 11 Jalan SS15/4, Subang Jaya, Selangor, Malaysia (referred to as "we", "us", or "Auditably.co").

By creating an account or using the Service, you agree to these Terms. If you do not agree, do not use the Service.

2. The Service

Auditably.co is a software-as-a-service application that helps finance and sustainability teams produce IFRS S2 climate disclosure workbooks. The Service includes:

Auditably.co is a pure software product. We do not provide consulting, advisory, audit, accounting, legal, or "done-for-you" services of any kind. All disclosure work is performed by you, the customer, using our software tooling. Customer support is limited to technical product support (account, billing, and bug-related questions).

3. Payments and Merchant of Record

All purchases of the Service are processed by Paddle.com Market Ltd ("Paddle"), which acts as the authorised reseller and Merchant of Record for all transactions. This means:

Paddle's Buyer Terms apply to all purchases and are available at paddle.com/legal/checkout-buyer-terms.

4. Subscription, Cancellation, and Refunds

The Service is offered on a recurring subscription basis. Subscriptions automatically renew until cancelled.

Right to Cancel (14 days)

You have the right to cancel your subscription within 14 days of your initial purchase, in accordance with Paddle's Buyer Terms. To exercise this right, contact us at [email protected] or visit paddle.net before the end of the 14-day cancellation period.

Cancellation after 14 days

You may cancel your subscription at any time. Cancellation takes effect at the end of the current billing period. There are no refunds on unused subscription periods after the initial 14-day cancellation window has passed.

Refund policy

All refunds are processed by Paddle under Paddle's standard refund policy. Paddle may decline refund requests where there is evidence of fraud, abuse, or breach of these Terms. To request a refund, contact paddle.net or email [email protected].

To use the Service, you must create an account with a valid email address and password. You are responsible for:

You retain all rights to data you upload to the Service ("Your Data"). By using the Service, you grant us a limited licence to process Your Data solely for the purpose of providing the Service to you.

Most data processing in Auditably.co happens in your browser. CSV files you upload are processed locally and not stored on our servers. Some workspace metadata (account, subscription status, configuration) is stored in our database (hosted by Supabase). For details on what we store and for how long, see our Privacy Policy.

If you choose to use the Auto-API mode (Pro tier), your data is transmitted directly from your browser to OpenAI or Anthropic (whichever you have configured). We do not see or store the contents of these API calls. You are responsible for compliance with OpenAI's and Anthropic's terms of service.

8. Intellectual Property

The Service, including all software, designs, content, and trademarks (other than Your Data), is owned by us or our licensors and is protected by copyright and other intellectual property laws.

Subject to your compliance with these Terms and payment of applicable fees, we grant you a non-exclusive, non-transferable, revocable licence to use the Service for your internal business purposes.

9. Disclaimers

The Service is provided "as is" and "as available". We do not warrant that:

The Service is a tool to help you prepare climate disclosures. We are not auditors, accountants, or legal advisors. You are solely responsible for the accuracy of disclosures you submit to regulators, auditors, or stakeholders. We recommend independent review of all output by qualified professionals before submission.

10. Limitation of Liability

To the maximum extent permitted by law, in no event will we be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits, revenue, data, or goodwill, arising out of or in connection with your use of the Service.

Our total aggregate liability to you under these Terms shall not exceed the amount you have paid us in the twelve (12) months preceding the event giving rise to the liability.

Nothing in these Terms limits any liability that cannot be limited under applicable law (including for death, personal injury, or fraud).

11. Termination

You may terminate your account at any time by cancelling your subscription via Paddle (paddle.net) or by emailing [email protected].

We may suspend or terminate your account if you breach these Terms or if required by law. If we terminate without cause, we will provide a pro-rata refund of any unused subscription period via Paddle.

12. Changes to these Terms

We may update these Terms from time to time. We will notify you of material changes by email or via the Service. Continued use of the Service after the effective date constitutes acceptance of the updated Terms.

13. Governing Law

These Terms are governed by the laws of Malaysia, without regard to its conflict of law principles. Any dispute arising out of or in connection with these Terms shall be resolved in the courts of Malaysia, except where mandatory consumer protection laws in your country of residence apply.

Notwithstanding the above, refund and consumer rights disputes related to Paddle as Merchant of Record are governed by Paddle's Buyer Terms.
